These Terms and Conditions (the "Agreement") govern your access to and use of the Services provided by PushGlobe Ltd ("PushGlobe"). By creating an account, depositing funds, or running campaigns you accept this Agreement in full.

1. Definitions

Agreement — these Terms and Conditions together with the Privacy Policy and any supplementary terms.

Advertiser — any legal or natural person that places Advertisements through PushGlobe.

Publisher — any legal or natural person that provides ad inventory through PushGlobe.

Services — the self-serve advertising platform, SDKs, APIs, reporting tools, and related products operated by PushGlobe.

Official Website — pushglobe.com and its subdomains.

2. General terms

2.1. Acceptance. Use of the Services constitutes unconditional acceptance of this Agreement.

2.2. Amendments. PushGlobe may amend these terms at any time. Continued use after publication constitutes acceptance.

2.3. Eligibility. You must be at least 18 years old and legally capable of entering into binding contracts.

2.4. One account. Each legal entity or natural person is entitled to one account. Duplicate accounts may be suspended.

2.5. No partnership. Nothing in this Agreement creates any agency, partnership, joint venture, or employment relationship.

2.6. Third parties. PushGlobe does not control, endorse or accept responsibility for content, products, or services of Publishers, Advertisers, or third parties.

3. Payment terms

3.1. Top-up. Minimum deposit is USD 100. The Advertiser ensures a positive account balance at all times.

3.2. Debiting. Accounts are debited when an Advertisement is placed on inventory under Campaign Settings.

3.3. Top-up channels. Accounts may be credited only via the methods listed on the Official Website.

3.4. Reconciliation. The PushGlobe Reporting System is the sole source of truth for amounts owed.

3.5. No guarantee of results. PushGlobe does not guarantee any specific number of impressions, clicks, conversions, ROI, or revenue.

3.7. No cash-out refunds. Cash-out refunds from the account to external accounts are not permitted except as expressly stated.

3.8. Refunds for placement errors. In-platform credit only — granted for confirmed bot/invalid traffic or software targeting errors.

3.9. Discretionary cash refunds. A 5% processing fee is deducted. Approved within 5 business days.

3.10. Chargeback waiver. The Advertiser agrees not to initiate chargebacks.

3.12. Publisher payouts. Paid after verification, minus deductions for invalid traffic or fraud.

4. Quality of the Services. Warranty disclaimer

4.1. The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

4.2. PushGlobe provides no SLA, no uptime guarantee, and no performance guarantee of any kind.

4.4. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUSHGLOBE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY.

5. Data privacy and confidentiality

5.1. The Privacy Policy constitutes an integral part of this Agreement.

5.2. All non-public information about PushGlobe is considered confidential.

5.3. The user is solely responsible for all consents, notices, and lawful basis under applicable data protection laws.

6. Children's privacy

The user represents and warrants that it will not use the Services in connection with children under 16 years of age.

7. Account security

7.1. All applications regarding amendments shall be made via the Account.

7.2. The user shall keep Account credentials confidential and is responsible for any unauthorized access.

8. PushGlobe's liability limitation

8.1. PushGlobe's liability is capped at the twofold amount of the latest payment made during the preceding 30 days, up to USD 1,000 maximum.

PushGlobe bears no liability for special, incidental, or consequential losses, invalid traffic, third-party errors, or force majeure.

9. Liability of the user

9.1. The user bears full liability for execution of obligations, compliance, and legalities.

9.2. Prohibited content. Prohibited content includes illegal activities, pornography, malware, human trafficking, and fraud. Full list on request.

9.4. Indemnification. The user will defend and hold PushGlobe harmless from claims arising from their use of the Services.

10. Force majeure

The Parties are exempt from liability for failure to perform due to extraordinary events beyond their reasonable control.

11. Applicable law and dispute resolution

11.1. Governed by the laws of England and Wales.

11.2. Disputes settled by English courts or arbitration in London.

11.3. Class-action waiver. Claims must be brought only in individual capacity.

12. Suspension and termination

12.1. By the user. Can terminate at any time; remaining balance is forfeited.

12.2. By PushGlobe for cause. Immediate suspension for breaches, fraud, or 3 months of inactivity.

12.3. By PushGlobe without cause. Allowed with 30 days' notice.

13. Miscellaneous

13.1. These Terms constitute the entire agreement between the parties.

13.4. User may not assign any rights under this Agreement without PushGlobe's prior written consent.
